Terms & Conditions

These Terms & Conditions govern all services provided by CedarStone Digital (Pty) Ltd. Please read them carefully before engaging our services.

01 Definitions

In these Terms & Conditions, the following definitions apply:

02 Acceptance of Terms

By engaging the Company's services — whether through submitting a contact form, signing a proposal, making a payment, or verbally agreeing to proceed — the Client acknowledges and accepts these Terms & Conditions in full.

These Terms apply to all services rendered by CedarStone Digital (Pty) Ltd and supersede any prior verbal or informal understandings.

03 Services & Scope of Work

All services are rendered according to the scope defined in the written Proposal provided to the Client before work commences. The Proposal constitutes the agreed deliverables, timeline, and price.

Scope changes: Any additions or modifications to the agreed scope requested by the Client after work has commenced may incur additional charges. The Company will notify the Client in writing before proceeding with any out-of-scope work.

Revisions: Each project includes a reasonable number of revision rounds as specified in the Proposal. Revisions exceeding the agreed number may be billed at the Company's standard hourly rate.

Timelines: The Company will make every effort to meet agreed delivery dates. Timelines are contingent on the Client providing required content, feedback, and approvals promptly. Delays caused by the Client do not constitute a breach of contract by the Company.

04 Payment Terms

Unless otherwise specified in the Proposal, the following payment schedule applies:

Accepted payment methods: Electronic Funds Transfer (EFT) and bank transfer in South African Rand (ZAR). Payment details will be provided in the invoice.

Late payments: Invoices not settled within 7 days of the due date may result in work being paused until payment is received. The Company reserves the right to charge interest on overdue amounts at 2% per month.

All prices are quoted and invoiced in South African Rand (ZAR) and exclude VAT unless explicitly stated otherwise in the Proposal.

05 Intellectual Property

Transfer of ownership: Full intellectual property rights for all custom Deliverables transfer to the Client only upon receipt of final payment in full. Until that point, all work remains the property of CedarStone Digital (Pty) Ltd.

Third-party assets: The Company may use licensed third-party software, fonts, stock imagery, or open-source components in Deliverables. The Client is responsible for maintaining any ongoing licences required for these assets after handover.

Portfolio rights: Unless the Client requests confidentiality in writing, the Company retains the right to display completed work in its portfolio, case studies, and marketing materials.

Company tools & systems: Proprietary frameworks, tools, templates, and internal processes used by the Company in delivering Services remain the intellectual property of CedarStone Digital (Pty) Ltd at all times.

06 Client Responsibilities

The Client agrees to:

The Company accepts no liability for delays or defects arising from the Client's failure to meet these responsibilities.

07 Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or non-public information shared during the course of the project. This includes business strategies, financial data, technical systems, and client lists.

This obligation of confidentiality survives the termination of the service relationship and remains in effect indefinitely, unless the information becomes publicly available through lawful means.

The Company will never sell, rent, or share Client data with third parties for marketing purposes.

08 Limitation of Liability

To the maximum extent permitted by South African law, CedarStone Digital (Pty) Ltd's total liability to the Client for any claim arising from or related to the Services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

The Company is not liable for:

The Company's satisfaction guarantee (rework at no cost if Deliverables do not match the agreed scope) does not constitute an admission of liability beyond the scope of that guarantee.

09 Termination

By the Client: The Client may terminate an engagement at any time by providing written notice to the Company. Work completed up to the date of termination will be invoiced and is payable. The deposit is non-refundable.

By the Company: The Company reserves the right to terminate an engagement if the Client breaches any material term of these Terms & Conditions, fails to make payment within the agreed terms, or acts in a manner that is abusive, illegal, or harmful.

Upon termination, the Company will provide the Client with all completed work to date, and any outstanding fees for work performed become immediately due.

10 Amendments

CedarStone Digital (Pty) Ltd reserves the right to update or amend these Terms & Conditions at any time. Clients will be notified of material changes via email or a notice on our website.

Continued use of our services after notification of changes constitutes acceptance of the revised Terms.

These Terms were last updated in May 2026.

11 Governing Law & Disputes

These Terms & Conditions are governed by the laws of the Republic of South Africa. Any disputes arising from or related to these Terms shall be subject to the jurisdiction of the South African courts.

Before initiating formal legal proceedings, both parties agree to make a good-faith effort to resolve disputes amicably through direct negotiation. If negotiation fails, disputes may be referred to mediation in accordance with the Arbitration Foundation of Southern Africa (AFSA) procedures.
